Welcome to Curated by Nagpur (“CBN”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, mobile experiences, and related services (collectively, the “Platform”). By visiting, registering, listing, buying, selling, messaging, or otherwise using the Platform, you agree to be bound by these Terms and all policies referenced here (Privacy Policy, Returns & Refunds Policy, Seller Policy, Community Guidelines, etc.).
Please read them carefully.

Important: CBN operates as a marketplace facilitator. Except where expressly stated, the sale contract is between the Seller and the Customer. CBN does not manufacture or own the products listed by Sellers.

1) Definitions
Customer/Buyer: A user who browses and/or purchases on the Platform.
Seller/Vendor: A person or entity that lists products/services for sale on the Platform. Community Member: Any registered user participating in CBN events, forums, or programs. Product: Any physical good or service listed on the Platform. Account: Your registered profile (customer or seller). Content:
Text, images, video, audio, reviews, logos, and other materials displayed or uploaded. Order: A purchase request placed by a Customer for one or more Products from one or more Sellers. Policies: All rules referenced in these Terms (e.g., Privacy Policy, Returns Policy, Seller Policy).

2) Eligibility & Compliance
You must be at least 18 years old to create an account and transact, or use under the guidance of a parent/guardian who accepts these Terms. Sellers must complete KYC and provide accurate business details (GSTIN, bank details, address). You agree to comply with applicable Indian laws and regulations (including consumer protection, e-commerce, GST, IP, and IT laws).

3) Account Registration & Security
Provide true, current, and complete information; keep it updated. You are responsible for all activity under your account and for safeguarding login credentials. Notify us immediately of any unauthorized use. We may suspend accounts for suspected fraud, abuse, or policy violations.

4) Role of Curated by Nagpur (Marketplace
Intermediary)

CBN provides discovery, listing tools, payments facilitation, logistics integrations, and customer support workflows. CBN is not the seller of record for third-party goods; the Seller sets price, description, taxes, shipping timelines, and is responsible for product quality and compliance. While we verify Sellers during onboarding, CBN does not guarantee uninterrupted availability, specific results, or error-free operation.

5) Listings, Pricing, and Taxes (Sellers)
Provide accurate titles, descriptions, images, specifications, MRP, offers, and availability. Misleading or counterfeit listings are prohibited. Prices must be genuine and inclusive/exclusive of taxes as clearly indicated. Sellers are responsible for GST compliance, invoicing, and tax remittance. Prohibited or restricted items (e.g., illegal goods, dangerous items, infringing content) may not be listed. CBN may remove or restrict listings at its discretion.

6) Orders & Contract Formation
Placing an order constitutes an offer to buy. Acceptance occurs when the Seller confirms and/or dispatches the Product. Multi-seller carts may generate multiple shipments and invoices. CBN or the Seller may cancel due to stock issues, pricing errors, address issues, or suspected fraud. Any prepaid amount for a cancelled order will be refunded.

7) Payments, Payouts & Chargebacks
Customers can pay via UPI, cards, netbanking, wallets, COD (where available), or approved BNPL options (subject to provider T&Cs). Payments are processed through third-party payment gateways. CBN does not store full card details.
Seller Payouts: Net of CBN commission, payment gateway fees, logistics fees, and any applicable holds/adjustments (e.g., refunds, chargebacks, RTO).
Standard settlement window is typically 5–10 business days post successful delivery, subject to reconciliation. Chargebacks/Disputes: If a payment is reversed, CBN may deduct or recover the disputed amount from Seller payouts or place an account hold until resolution.

8) Shipping, Delivery & Risk of Loss
Sellers are responsible for order processing, packaging, and dispatch within the stated handling time. Logistics may be handled by the Seller directly or via an integrated shipping aggregator. Delivery timelines displayed are estimates.
Delays may occur due to courier constraints, weather, or public holidays. Risk of loss passes to the Customer upon delivery at the address provided.
Undeliverable shipments may be returned (RTO). RTO/second-attempt fees may apply. Customers must provide accurate address/contact details and be available to receive delivery.

9) Returns, Replacements & Refunds
Our general rule: returns are accepted for damaged, defective, or wrong items; some categories (personalized, perishable, intimate products, made-toorder) may be non-returnable unless damaged/defective on arrival. Customers must raise a return request within 2 days of delivery with unboxing photos/videos where requested. On approval, Seller will arrange a pickup or provide return instructions. Refunds are processed to the original payment method within 5–10 business days post inspection. For COD orders, refunds

10) Reviews, Ratings & Community Conduct

Reviews must be honest, relevant, and respectful. No obscene, defamatory, hateful, or harassing content. You grant CBN a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your reviews and content for Platform operations and promotions. CBN may moderate or remove content that violates these Terms or applicable laws.

11) Intellectual Property & Licenses
The Platform (UI, text, graphics, logos, Badges of Honour, designs) is owned by CBN or licensed to us and protected by IP laws. Sellers retain rights in their product images and brand assets but grant CBN a limited license to host, display, and promote listings on and off the Platform. Do not copy, scrape, reverse engineer, or commercially exploit Platform content without permission.

12) “Badges of Honour” (Seller Indicators)
Badges (e.g., Women-Led, Kidpreneur, Eco-Conscious, Handmade) are granted based on self-declaration plus documentation where applicable. Misuse or misrepresentation may result in badge removal, account suspension, or delisting.

13) Events, Workshops & Community Spaces
Community activities (flea fairs, pop-ups, online sessions) may have additional event-specific terms. By attending, you consent to reasonable photography/videography for promotion. If you prefer not to appear, notify the organizer on-site. Minors must be accompanied by a parent/guardian. CBN reserves the right to decline participation for safety or policy reasons.

14) Customer Support & Communications
Support channels include email, live chat, and WhatsApp (during hours posted on the site). By providing your contact details, you consent to receive transactional and service communications (order updates, delivery alerts, returns). You can opt-in/opt-out of marketing communications anytime.

15) Gift Cards, Coupons & Promotions
Gift cards and coupons (if offered) are subject to the specific terms communicated at purchase/issuance (validity period, exclusions, nontransferability). Not redeemable for cash (except where required by law).
Lost/stolen codes may not be replaced. CBN may cancel benefits if abuse or fraud is suspected.

16) Data Protection & Privacy

We collect and process personal data in accordance with our Privacy Policy (see website). Data may be shared with payment partners, logistics providers, and service vendors strictly for order fulfillment, fraud prevention, and legal compliance. We implement reasonable security measures but cannot guarantee absolute security.

17) Third-Party Services
Payment gateways, logistics providers, BNPL partners, analytics tools, and other integrations are operated by third parties under their own terms and privacy policies. CBN is not responsible for third-party failures but will reasonably assist with issue escalation.

18) Prohibited Uses & Enforcement
You agree not to:
List, sell, or purchase illegal, unsafe, or prohibited items;
Infringe IP rights or privacy rights;
Engage in fraud, price manipulation, review abuse, scraping, spamming, or malware distribution;
Bypass security or misuse the Platform’s features.
CBN may audit, suspend, or terminate accounts; remove content or listings; or take legal action where warranted.

19) Warranties & Disclaimers
Except as expressly stated, the Platform is provided on an “as-is” and “asavailable” basis. CBN disclaims warranties of merchantability, fitness for a particular purpose, or non-infringement. CBN does not warrant uninterrupted, timely, or error-free service.

20) Limitation of Liability
To the maximum extent permitted by law, CBN is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or reputation. In all cases, CBN’s aggregate liability arising from or related to the Platform will not exceed the greater of (a) INR 5,000 or (b) the total commissions/fees paid to CBN relating to the transaction(s) at issue.

21) Indemnity
You agree to indemnify and hold harmless CBN, its directors, employees, and partners from any claims, losses, liabilities, damages, costs, or expenses (including legal fees) arising from your:
breach of these Terms or Policies;
violation of law or third-party rights;
listings, content, or conduct on the Platform.

22) Suspension, Termination & Survival
You may close your account by contacting support (subject to settlement of any dues). We may suspend or terminate access for policy or legal violations, fraud, or risk. Sections relating to IP, payments/chargebacks, refunds, warranties, liability, indemnity, governing law, and dispute resolution survive termination.

23) Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles. Courts at Nagpur, Maharashtra shall have exclusive jurisdiction, subject to the arbitration clause below. Arbitration: Disputes not resolved through support escalation within 30 days shall be referred to a sole arbitrator appointed under the Arbitration and Conciliation Act, 1996. Seat/venue:
Nagpur, Maharashtra. Language: English. Each party bears its own costs;
tribunal may allocate costs in the award.

24) Changes to Terms
We may update these Terms from time to time. The “Last updated” date will change accordingly. Continued use of the Platform after changes means you accept the updated Terms.

25) Seller-Specific Addendum (Operational)
KYC & Verification: PAN, GSTIN (if applicable), bank verification, and contact validation are mandatory before payouts.
Payouts & Holds: CBN may place reserves or rolling holds based on risk, returns, or chargeback patterns.
Packaging Standards: Sellers must use protective and tamper-evident packaging; include invoice and care instructions where relevant.
Regulatory Compliance: Sellers are solely responsible for compliance with FSSAI (for food), BIS/IS standards (where applicable), cosmetics labelling rules, and any safety certifications.
Quality & Safety: Products must match listing descriptions and be safe for intended use. Counterfeit or grey-market goods are strictly prohibited.
Returns Liability: If a return is due to Seller fault (defect/damage/wrong item), Seller bears reverse logistics and refund costs.
Communication SLAs: Respond to customer/CBN tickets within 24–48 hours.
Repeated SLA breaches may lead to penalties or delisting.
Marketing & IP License: Seller grants CBN a non-exclusive license to use store name, logo, product images, and story for platform and campaign promotion.

26) Customer-Specific Addendum (Practical)
Multiple-Seller Carts: Shipments arrive separately; each may have unique tracking and timelines.
Accuracy of Information: Provide correct address, phone, and email. Missed deliveries due to incorrect info may incur re-delivery fees.
Care & Use: Follow product care instructions. Damage from misuse is not covered by returns.
Community Conduct: Be respectful in messages, reviews, and forums. Zero tolerance for harassment or hate speech.

27) Community & Content Guidelines (All Users)
Celebrate diversity; keep interactions constructive and kind.
Share genuine experiences in reviews; no promotional spam or competitor slander.
Report suspicious listings or behaviour via support channels.

29) Entire Agreement & Severability

These Terms (with referenced Policies) constitute the entire agreement between you and CBN. If any provision is found unenforceable, the remaining provisions will continue in full force and effect.
